SolvNet Terms of Use

Welcome to SolvNet, a service provided by Synopsys, Inc. and/or its affiliates ("Synopsys"). SolvNet offers access to a variety of resources, including: (i) software downloads and license keys; (ii) online customer support, including information related to your company's current and historic support issues; and (iii) product documentation, sample scripts, and additional support content. The resources and information made available by Synopsys on SolvNet are collectively referred to as "Content".

Your access and use of SolvNet and Content is governed by and subject to the following terms and conditions ("Terms"), in addition to your current employer's end user license and maintenance agreement(s) and/or other agreement(s) with Synopsys ("License Agreement"). You must accept the below Terms before you can access SolvNet or Content.

Account Registration
To access SolvNet, you will need to register and create an account ("Account") and become a registered user. In creating an Account, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services or Content from Synopsys under the laws of the United States or other applicable jurisdiction. When creating an Account, you will be required to provide certain personal information about yourself and establish a username and a password. You must use current, complete and accurate information to register and use SolvNet. Except for limited exceptions made by Synopsys in its sole discretion, users must register using an email address provided by your current employer.

Synopsys may periodically verify, and may ask you to re-validate, your Account information. You may update your Account information at any time on the SolvNet My Profile page (https://solvnet.synopsys.com/MaintainUserProfile). You are responsible for safeguarding your Account information and for any activities or actions under your Account, whether or not you have authorized such activities or actions.

You agree to notify Synopsys (solvnetfeedback@synopsys.com) if you change employer and of any known or suspected unauthorized use of your Account or breach of security and upon written request to provide information and to work in good faith with Synopsys to address any such activities under your Account.

Privacy
Please refer to Synopsys' privacy policy available at http://www.synopsys.com/Company/Pages/SynopsysPrivacy.aspx for information on how Synopsys collects, uses and discloses information from its users.

Permitted Use
Your Account is for your sole use and you are authorized to access SolvNet solely for the benefit of your current employer. You are authorized to access only Content that relates to Synopsys products for which your current employer has a valid license. You are not authorized to access or use Content related to Synopsys products for which your current employer does not have a valid license, regardless of the fact that such Content may be visible to you. General Prohibitions
In accessing or using SolvNet and Content, you agree not to do any of the following (nor permit others to do so): (i) attempt to access or search SolvNet or obtain Content from SolvNet through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Synopsys or other generally available third party web browsers; (ii) access, tamper with, or use those areas of SolvNet reserved for use only by Synopsys personnel or Synopsys computer systems; (iii) circumvent, disable or otherwise interfere with any security-related features of SolvNet or features that prevent or restrict use or copying of any Content or enforce limitations on use of SolvNet or Content; (iv) use SolvNet or Content for the benefit of any third party other than your current employer or in any manner not authorized by these Terms; or (v) disclose Content or permit others to access SolvNet except as permitted under the License Agreement.

Account closure, suspension or termination
To close your Account, you may update your SolvNet profile at https://solvnet.synopsys.com/MaintainUserProfile or submit a request to solvnetfeedback@synopsys.com. If you breach any of these Terms, you are no longer with your current employer or Synopsys believes the security of the Account has been compromised Synopsys will have the right, in its sole discretion and without prior notice, to suspend, disable or terminate your access to SolvNet. You acknowledge and agree that if your Account is suspended, disabled or terminated, you will no longer be able to access your Account, including any support cases you may have opened on behalf of your current employer. In such cases, Synopsys will not be liable to you or any third party for any suspension, disablement or termination of your access to SolvNet.

Ownership
SolvNet and Content are protected by copyright, trademark, and other laws of the United States and foreign countries and are Synopsys' confidential information. Except for support information that you provide to Synopsys, Synopsys (or its licensors) exclusively own all right, title and interest in and to SolvNet and Content, including all associated intellectual property rights. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices as they appear in SolvNet and Content.

Limitation of Liability
UNDER THESE TERMS, NEITHER SYNOPSYS NOR ITS EMPLOYEES, OFFICERS, AGENTS OR REPRESENTATIVES SHALL HAVE ANY LIABILITY TO YOU FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL OR TORT DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR DATA OR OTHER PECUNIARY DAMAGES OF ANY KIND OR NATURE ARISING OUT OF THE USE OR PERFORMANCE OF SOLVNET OR CONTENT, EVEN IF SYNOPSYS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF SOLVNET OR CONTENT. Some jurisdictions do not allow the exclusion or limitation of liability for incidental, consequential or punitive damages, so only to that extent, the exclusion or limitation above may not apply to you. THE LIMITATIONS AND EXCLUSIONS OF LIABILITY SET FORTH IN THE LICENSE AGREEMENT REMAIN IN FULL FORCE AND EFFECT BETWEEN SYNOPSYS AND YOUR EMPLOYER.

Changes to Terms or Site
Synopsys may modify these Terms at any time in its sole discretion. When changes are made, you will be required to accept the then current terms to continue to access SolvNet and Content. Synopsys may change or discontinue all or any part of SolvNet or Content at any time without notice and in its sole discretion.

General
These Terms govern your use of SolvNet and Content, in addition to the terms of the License Agreement. In the event of any conflict between these Terms and the terms of the License Agreement, the terms of the License Agreement shall govern. The failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect. Synopsys, Inc. affiliated companies shall be third party beneficiaries to these Terms and as such they are entitled to directly enforce, and rely upon, any provision of these Terms which confers a benefit on (or rights in favor of) them. These Terms will be governed by and construed in accordance with the laws of the State of California, without regard to or application of conflict of laws rules or principles. You agree to submit to the exclusive jurisdiction of the courts located within the county of Santa Clara, California, to resolve any legal matter arising from these Terms. Any notices or other communications provided by Synopsys under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to SolvNet. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
